CuteLife Service Agreement

IMPORTANT NOTICE: Please carefully read and fully understand all the contents of this Service Agreement (hereinafter referred to as the "Agreement"), especially the sections that define user rights, data protection, content policies, and limitation of liability.

Age Requirement: You must be at least 18 years of age to use CuteLife services. If you are under 18, you are not permitted to create an account or use our services. By accepting this Agreement, you confirm that you are 18 years of age or older.

Parental Notice: If you are a parent or guardian and believe your child under 18 has created an account, please contact us immediately at [email protected] so we can delete the account and associated data.

Agreement Acceptance: By registering, logging in, or using CuteLife services, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these terms, you must not use our services.

This Agreement is an agreement between you (hereinafter referred to as the "User") and CuteLife Company (HONG KONG ZIYE TECHNOLOGY CO., LIMITED, hereinafter referred to as "CuteLife") concerning the registration, login and use of the "CuteLife" live video platform services. This Agreement stipulates the rights and obligations of CuteLife and the user in respect of "CuteLife" services. "User" refers to the individual or organization who registers, logs in, uses, browses and obtains the services under this Agreement.

Updates to Agreement: CuteLife reserves the right to update this Agreement from time to time. We will notify you of material changes through in-app notifications, email, or prominent notices on our website. The updated Agreement will be effective immediately upon posting unless otherwise specified. Your continued use of CuteLife services after changes are posted constitutes your acceptance of the updated Agreement. If you do not agree to the updated terms, you must stop using our services and may delete your account.

1、 Use rules

1. The user fully understands and agrees that Ziye only provides information storage and sharing platform services for the user, and the user must be responsible for all actions under his registered account, including the adverse consequences caused by any content, information, etc. that you transmit to Ziye platform, including but not limited to compensation, fines, judicial/arbitration procedure fees, attorney fees, reasonable expenses, and damages caused to Ziye. Users should make their own judgment on the content published by other registered users (including anchors) on the Ziye platform, and bear the legal liabilities caused to themselves, others and the society by using the content, including but not limited to the risks arising from the reliance on the accuracy, authenticity, integrity or practicality of the content.

2. Any content, information, etc. released by users in the use of Ziye services do not reflect or represent Ziye's views, positions or policies, and Ziye does not assume any responsibility for this.

3. The user fully understands and agrees that Ziye is a peer-to-peer information service platform based on the user relationship network. The user must take full responsibility for the authenticity, legality and validity of the registered information on Ziye. The user must not pass himself off or use the name of others to spread any information, and must not use the registered account maliciously to cause other users to misunderstand. Otherwise, Ziye has the right to immediately stop providing services and cancel the user's Ziye account, and the user shall bear all legal liabilities arising therefrom.

4. Ziye is not responsible for the authenticity, legality, harmlessness and validity of all the information uploaded by users, either alone or jointly, and the users shall bear the relevant legal liabilities arising from the information they transmit.

5. In order to improve the exposure and release efficiency of users' live broadcast, upload and transmission content, you agree that all the content you publish on your Ziye account and other versions of Ziye (Ziye Express Edition and other versions developed subsequently) are authorized to be automatically synchronized between different versions with your account, and your operations of publishing, modifying, deleting, setting and other contents on Ziye will be synchronized to each version of the above products.

6. The user fully understands and agrees that due to business development needs, emergencies, etc., Ziye may temporarily change, suspend, restrict or terminate some or all of Ziye's services, and Ziye will work hard, but will not guarantee to be notified in advance. Users are aware of and willing to take such risks.

7. The user fully understands and agrees that the services provided by Ziye may include advertisements. The user agrees to display the advertisements provided by Ziye and third-party suppliers and partners during the use of the service. At the same time, Ziye has the right to add the website logo (or name) and time watermark in the live broadcast room. Ziye will try its best but not guarantee that it will not affect your live experience.

8. Users are not allowed to use Ziye platform services to produce, upload and disseminate information containing any of the following contents:

• (1) Opposing the basic principles set forth in the Constitution;
• (2) Endangering national security, disclosing state secrets, subverting state power, and undermining national unity;
• (3) Damage to national honor and interests;
• (4) Inciting national hatred and discrimination and undermining national unity;
• (5) Those who undermine the state's religious policies and promote heresy and feudal superstition;
• (6) Spreading rumors, disturbing social order and undermining social stability;
• (7) Spreading obscenity, pornography, gambling, violence, murder, terror or abetting crimes;
• (8) Insult or slander others and infringe upon their lawful rights and interests;
• (9) Information containing other contents prohibited by laws and administrative regulations.

9. According to reasonable judgment, Ziye can take measures to stop transmission and offline according to law for content that violates laws and regulations, the agreement, infringes, impairs or threatens the legal rights of others (including but not limited to intellectual property rights, personal rights, etc.), or publishes content in the name of others, and has the right to take appropriate actions in part or all of the following for users who violate this clause according to reasonable judgment:, Including but not limited to: preserving or immediately deleting illegal, infringing, inappropriate and other contents from the Ziye service platform, restricting or prohibiting users from using all or part of the Ziye service, deducting part or all of the virtual property in the user account, cancelling the user account, and saving relevant information according to laws and regulations and reporting to the relevant departments.

10. User rights and obligations:

• (1) The ownership of the Ziye account belongs to Ziye. After the user completes the application for registration, he/she obtains the right to use the Ziye account. The right to use the Ziye account belongs only to the initial applicant for registration. Users are prohibited from donating, borrowing, renting, transferring or selling the Ziye account. If the user is not the initial applicant for registration of the account, Ziye has the right to freeze and recover the account without notice without having to bear legal liability to the user of the account. The resulting losses, including but not limited to user communication interruption, user data and virtual props clearance, shall be borne by the user. If there is a dispute about the ownership of the account, Ziye has the right to temporarily freeze the disputed account after receiving the complaint from the relevant party; The parties to the dispute shall provide evidence to prove the ownership of the account within the evidentiary period (7 working days), and Ziye will unfreeze the disputed account after judging the ownership based on the evidence provided by the parties.
• (2) Users can change and delete personal data, registration information and transmission content on Ziye account or platform. When users change or delete relevant information, they may also cause the loss of text, pictures, videos, etc. stored in the system. Ziye is not responsible for the loss of content caused by users' independent operation.
• (3) The user has the responsibility to properly keep the security of the registered account information and account password, and the user needs to take legal responsibility for the behavior under the registered account. The legal liability arising from the loan, disclosure or misappropriation of account number, password and other information shall be borne by the registered user. The user agrees not to use the account of other users under any circumstances.
• (4) The user shall abide by the terms of this agreement, use the service correctly and appropriately, and shall not disturb the order of the platform, including but not limited to disturbing the financial order of the platform (such as selling diamonds, Yingcoin, etc.). If the user violates any provision of this agreement or other platform rules, Ziye has the right to terminate/suspend the provision of all or part of services to Ziye account of the defaulting user according to the agreement. If any function of the account is terminated/suspended, you cannot participate in any official activities. If the account is permanently banned, the diamonds and coins in the account will be cleared and no cash will be withdrawn. Special attention should be paid to the account suspected of using unreasonable means to recharge (including but not limited to illegal use of credit card to cash out), and Ziye will temporarily or permanently suspend the account according to its reasonable judgment. At the same time, Ziye reserves the right to withdraw its account and user name at any time.
• (5) The user guarantees that the information provided when registering the Ziye account is true and complete. The legal liability arising from illegal, untrue and inaccurate information shall be borne by the user. If the user's registration information changes, the registration information should be updated in time to meet the requirements of timeliness, detail, authenticity and accuracy.
• (6) Users can recharge diamonds and exchange virtual props for value-added services during the use of Ziye services. Except for the circumstances specified by law, Ziye will not provide the service of returning, exchanging or cashing into RMB or any other currency after users recharge.
• (7) If your account meets the following conditions at the same time: 1) You have not logged in to Ziye Live App for 12 consecutive months; 2) There is no valid payment business that has not expired. Ziye has the right to cancel, recycle, replace or delete any records of the account in the database of Ziye platform (including but not limited to registration information, virtual gift information, etc.) to avoid resource waste. Before clearing such accounts, you will be notified by including but not limited to pop-up windows, in-station messages, and client-side push messages. Your account will not be able to log in after clearing, and the corresponding service will be terminated at the same time.
• (8) The user agrees to grant Ziye free use of the information and content released through the Ziye platform or formed during the user's use of the Ziye service. Ziye can use it by all means including adaptation, compilation, reproduction, distribution and network communication. If the user disagrees with the use of relevant content by Ziye, he shall inform Ziye in writing in advance.
• (9) In the process of using the services provided by Ziye, users can report and complain to the staff of Ziye if they find contents involving politics, guns, drugs, violence, gambling and pornography. After receiving reports and complaints, Ziye will send specialists to deal with them in a timely manner.
• (10) The content you broadcast, upload, publish or transmit through Ziye shall not be displayed, distributed or promoted on a competitive live broadcast platform or a platform with live broadcast function without the written consent of Ziye.
• (11) You may not use Ziye for any form of money laundering. Ziye will closely monitor such behavior, and has the right to investigate the abnormal and large amount of virtual asset flow in multiple targeted accounts, and has the right to cooperate with the investigation of the competent authority to submit your identity information, transaction records of relevant accounts and other information.

2. Privacy Protection and Data Rights

Personal Information: Personal privacy information refers to information that can identify you personally or involves personal communication, including your real name, ID number, mobile phone number, email address, payment information, IP address, device identifiers, and biometric data.

Non-Personal Information: Non-personal privacy information refers to your operation status, usage habits, and other basic recorded information that are clearly and objectively reflected in the CuteLife server, as well as aggregated or anonymized data that cannot identify you personally.

Privacy Commitment: CuteLife respects and protects your personal privacy. We will take reasonable technical and organizational measures to protect your personal information from unauthorized access, disclosure, alteration, or destruction.

Data Collection and Use: We collect and use your information only for the purposes disclosed in our Privacy Policy, including:

• With service providers who assist in operating our platform (under strict confidentiality agreements)
• In connection with a business transfer or merger

3、 Ziye business logo information

The graphics, characters or their composition, as well as other logos, products and service names involved in the services of Ziye are the commercial logos of Ziye (hereinafter referred to as "Ziye logo"). Without the prior written consent of Ziye, users shall not display, use or apply for trademark registration, domain name registration, etc. of the Ziye logo in any way, nor shall they carry out any act that explicitly or implicitly has the right to display, use, or dispose of the Ziye logo to others. If the user causes losses to Ziye or others due to illegal use of Ziye logo, the user shall bear relevant legal liabilities.

4、 Intellectual property

1. The services of the platform include the websites, web applications and software operated by Ziye, as well as the text, pictures, videos, audio and other elements contained therein. Ziye owns all intellectual property rights to its service marks, logos and any of the above elements.

2. You understand and promise that the content you broadcast, upload, publish or transmit on the Ziye platform (including but not limited to text, pictures, music, video, audio, voice, dialogue and other forms of content) is original or legally authorized by you. You should ensure that the above contents do not infringe the intellectual property rights or other legitimate rights and interests of others, and you do not need to pay any fees to any third party, otherwise you should bear the liability for compensation for the losses caused to Ziye and its affiliated companies or related cooperative companies.

3. Unless otherwise agreed, the intellectual property rights of the content (including but not limited to text, pictures, music, video, audio, sound, dialogue and other forms of content) you broadcast, upload, publish or transmit through Ziye belong to you or the original obligee. You agree to grant Ziye and its affiliates, control companies Inherit an unlimited, worldwide, irrevocable, free, and sublicensible (through multiple levels) right of the company (including but not limited to the right of reproduction, translation, compilation, information network transmission, adaptation and the production of derivatives, performances and other copyright property rights), so that the Ziye platform can store, publish, use, copy, modify, adapt, translate, and create derivative works of such user content Distribution, execution and display, etc. The scope of use of the above rights includes but is not limited to current or other websites, applications, products or terminal devices. You hereby confirm and agree that Ziye has the right to use or develop the content (in whole or in part) by itself or by a third party in any publicity, promotion, advertising, marketing and/or research related to the above content, Ziye platform and Ziye brand or in other ways. For the avoidance of doubt, you understand and agree that the rights granted above include the rights and licenses to use, reproduce and display the personal image, portrait, name, trademark, service mark, brand, name, logo, and any other brand, marketing or promotional assets, materials, materials, etc. that you own or are licensed to use and embed in the content.

5、 Legal liability and exemption

1. If the user violates the provisions of this Agreement or relevant service terms and causes a third party to claim against Ziye and its cooperative companies and affiliated companies, the user agrees to bear all legal liabilities, including but not limited to compensation, fines, settlement fees, litigation and arbitration fees, reasonable attorney fees, etc., and agrees to compensate for all damages caused to Ziye.

2. Ziye and its partners shall not be liable for all losses suffered by users due to the communication line fault, technical problem, network, computer fault, system instability and other force majeure reasons of the third party, such as the telecommunication department.

3. If the normal operation of the service is affected by force majeure events such as technical failure, Ziye and its cooperation units promise to cooperate with relevant units in the first time to deal with and repair in a timely manner, but Ziye and its cooperation units will not be responsible for all losses suffered by users.

4. Users understand that this service, like other Internet services, will be affected by many factors such as network service quality, social environment, user operation errors, etc., and may be harassed by various problems, such as the harassment in real life by others using user information. Other software downloaded and installed by users or other websites visited by users contain viruses such as "Trojan Horse", which threatens the security of users' computer information and data, and then affects the normal use of this service. Users should strengthen their awareness of information security and user data protection to avoid loss and harassment. Users should bear the risk of using Ziye services.

5. Users understand that this service involves Internet services, which may be affected by unstable factors in various links. This service has the risk of service interruption or failure to meet user requirements due to force majeure, computer virus or hacker attacks, system instability, user location, user shutdown, and any other technology, Internet network, communication line reasons. If the user cannot send, receive, read or receive the wrong information due to the above circumstances, Ziye will not assume any responsibility.

6. Users understand that there is a risk of anonymous or pseudonymous information from others, including but not limited to threatening, defamatory, offensive or other illegal content or behavior, and/or infringement of others' rights (including but not limited to intellectual property), which users must bear. Ziye and its partner companies do not make any explicit or implied guarantee for the services of the live video platform, including but not limited to the authenticity, commerciality, suitability for a particular purpose, ownership and non-infringement of the information, and the legal liability for any direct, indirect, accidental, special and subsequent infringement of the legitimate rights of a third party arising from the improper or illegal use of the services of the live video platform by users, Ziye does not assume any responsibility.

7. The information provided by Ziye includes but is not limited to: text, software, sound, photos, videos, charts, all the contents in the advertisement, and the business information provided by Ziye for users. All the above information is protected by copyright law, trademark law and other intellectual property laws, property law and other relevant Chinese laws. Users can only use these contents with the explicit authorization of Ziye and its partners. They are not allowed to copy, modify, edit the above contents, or create derivative products related to the contents without authorization.

8. In any case, Ziye shall not be liable for any indirect, consequential, punitive, incidental, special or punitive damages caused by the user's use of the Ziye live video platform, including but not limited to all losses caused by the user's use of the Ziye live video platform services (even though Ziye has been informed of the possibility of such losses). Although this agreement may contain special provisions, the full liability of Ziye to the user, regardless of the reason or behavior, shall not exceed the fees (if any) paid by the user to Ziye during the service period of using Ziye.

6、 Other terms

1. Special tips: Before registering and using the services under this Agreement, please carefully read the provisions of this Agreement that limit, exempt and aggravate the obligations of Ziye, and consider the risks independently. If you are a minor (under the age of 18), you should read this Agreement with the legal guardian and register for use with full understanding of the terms of this Agreement. At the same time, any recharging of minors will be deemed by Ziye to have obtained the consent of the legal guardian.

2. The invalidity of some or all of the provisions of this Agreement shall not affect the validity of other provisions.

3. The interpretation, validity and dispute settlement of this Agreement shall be governed by the laws of the People's Republic of China.

4. Any dispute or dispute between the user and Ziye shall be settled through friendly negotiation. If the negotiation fails, the user agrees to submit the dispute or dispute to the people's court with jurisdiction at the place where this agreement is signed.

5. CuteLife reserves the right to interpret and modify this Agreement.

6. This Agreement is governed by the laws of Hong Kong SAR.
